MyRecordSite Portfolio Partner Agreement
Portfolio Partner Agreement v1 — October 6, 2026
This agreement is between Griffin Realty, Inc., a Florida corporation doing business as SmartLedger Management, which operates MyRecordSite ("we," "us"), and the management company or organization that accepts it ("you" or "Partner"). It applies when you set up, administer, or pay for MyRecordSite accounts for more than one association. By checking the acceptance box and continuing, you accept this agreement on behalf of your organization and confirm you are authorized to do so.
1. Definitions - A "Participating Association" is an association whose MyRecordSite account you set up, administer, or pay for through your Portfolio. - The "Portfolio Administrator" is the individual you designate to act for you in the Portfolio. - The "Payer" is the party responsible for paying an association's subscription. This may be you or the association.
2. Relationship to the Terms and Privacy Policy - You are also bound by the MyRecordSite Terms of Use ("Terms") for your own use of MyRecordSite. Each Participating Association is a separate customer under the Terms. The Privacy Policy applies to all use of MyRecordSite. - This agreement adds terms for your role as Partner. If it conflicts with the Terms on your billing or administrative role, this agreement controls. The Terms control on everything else, including the disclaimers and limits of liability in Terms §14. - This agreement does not add any warranty, guarantee, or compliance representation beyond the Terms.
3. Authority - You represent that each Participating Association has authorized you, through a management agreement or board authorization, to set up and administer its account and, if you are the Payer, to pay for it. - You will add only associations you are authorized to act for. You will keep evidence of that authority and give us a copy on request. - As Terms §2 states, we do not independently verify your authority and may rely on your representation. Terms §15 applies to a lack of authority. - You will promptly update the Portfolio if your authority for an association changes or ends.
4. The Payer is not the owner - Each Participating Association has its own account record, its own data, and its own acceptance of the Terms. We may require an authorized representative of the association to accept the Terms for its account. - Being the Payer, the manager, or the Portfolio Administrator does not give you ownership of an association's account or data. Changing the Payer does not transfer ownership or control of an association's records. - You act only as the association's authorized agent.
5. Portfolio Administrator - You designate the Portfolio Administrator and are responsible for that person's actions in the Portfolio. - The Portfolio Administrator may access only the associations assigned to them. Credentials may not be shared. - You must promptly remove or replace a Portfolio Administrator who leaves your organization or loses authority. - We may limit or suspend Portfolio access while an authority dispute is reviewed.
6. Fees and billing - Fees are set out in Schedule A. We may change pricing prospectively on reasonable notice, as the Terms provide. - You authorize us, through our payment processor, to charge your payment method for all subscriptions you pay for, plus applicable taxes. You are responsible for all fees for associations you pay for and for keeping your payment information current. - Your fee is based on the number of Participating Associations you pay for. Adding a Participating Association may result in a prorated charge for the remainder of the current billing period, including when the addition changes the applicable pricing tier. An added association is set up once any resulting charge has been paid. Removing a Participating Association does not result in a prorated credit; the association remains billed through the end of the current paid billing period. - If a payment fails, you have a 15-day grace period to update your payment method or resolve the failure before we restrict or suspend access, as Terms §8 provides. - Payments are generally non-refundable. We may issue a refund or credit at our discretion. The Portfolio setup fee is one time and non-refundable.
7. Adding and removing associations - You add an association through the Portfolio by confirming that you are authorized to act for it. - You may ask us to remove an association from your Portfolio at any time. Removal ends your administration and payment for that association, and the billing change follows Section 6. - Removal does not delete, transfer, or erase the association's data, and you may not delete, transfer, or erase an association's data on your own. - After removal, the association's account continues under its own authorized representative or follows Section 9.
8. Management changes and handoff - Handoff is handled one association at a time. - If you stop managing an association, you must tell us and cooperate with its authorized representative or successor manager. You must also remove your administrators' access when asked. - The association's authorized representative or successor may continue the account by setting up its own payment, or may cancel under Section 9. - An association that moves from the Portfolio to its own subscription without interruption does not pay another setup fee. The setup fee waiver in Terms §8 for restoring service within the 90-day period after cancellation continues to apply. A new setup fee may apply only if the association's data has been permanently deleted and it sets up the service again. - We may ask for reasonable proof of authority. As Terms §6 provides, we may pause administrative changes while an authority dispute is reviewed. - We process handoff requests within a reasonable time and do not promise a specific timeline. - A change in manager or Payer never transfers ownership of the association's data.
9. Cancellation and termination - You may cancel any Participating Association, or the whole Portfolio, at any time. Cancellation takes effect at the end of the paid billing period. - Cancelling the Portfolio applies association by association and does not delete any association's data. - Each cancelled association follows Terms §13. We do not delete records at the time of cancellation. After the effective date of cancellation, data is retained read-only for an ordinary period of 90 days, with export available and reactivation allowed. After that, data becomes eligible for deletion. Deletion requires our approval and does not happen automatically, and legal holds prevent it. - We may suspend or terminate your Portfolio for non-payment, material breach, misuse, security threats, or an unresolved authority dispute, as the Terms provide.
10. Data ownership and access - Each association owns and controls its own records and account data. - You may use association data only to act for that association, and you must follow applicable law and the Privacy Policy. - Information about your own organization and your Portfolio Administrators (contact, billing, and login details) is handled under the Privacy Policy.
11. Custom domains - An association owns any custom domain used with its site. A Portfolio Partner may assist with a domain only with the association's authorization, and may not register or hold an association's domain in the Partner's own name for the association's site. - We may provide DNS instructions and reasonable setup assistance. The association or its domain administrator makes the DNS changes. - We do not require or request access to the association's registrar or domain-provider credentials. Do not send them to us. - Every association keeps its permanent MyRecordSite-provided address, which remains available even when a custom domain is connected. - We place no retention lock on any domain. The domain stays with the association on exit. The association or its domain administrator is responsible for removing or changing DNS records at its registrar. - We do not guarantee that a custom domain will connect or stay connected, because that depends on DNS and certificate settings outside our control.
12. No compliance guarantee Nothing in this agreement guarantees that any association complies with Chapter 718, 719, or 720, Florida Statutes, or any other law. You and each association remain responsible for your own compliance decisions. Terms §14 applies.
13. Liability The disclaimers and limits in Terms §14 apply to you. Our aggregate liability to you arising out of this agreement will not exceed the amount you paid us in the twelve (12) months preceding the claim.
14. General - We may update this agreement on reasonable notice, as the Terms provide. - Florida law governs, and any dispute will be brought in the state or federal courts located in Miami-Dade County, Florida. - This agreement and the Terms are the entire agreement on this subject. - Contact: partners@myrecordsite.com or support@myrecordsite.com.
